Äike Affiliate Program Terms and Conditions

We are excited to have you join our network of affiliates!

This Program is launched and maintained by Äike Mobility OÜ, established and existing in Tallinn, Estonia. Our operations are run from Dunkri 9, 10123 Tallinn, Estonia and our online presence is hubbed at www.rideaike.com.

With the Äike Affiliate Program (“Program”) we want to involve social-media superstars, bloggers, influencers, and freelancers to promote Äike products & services.

Äike Affiliate Program is very simple: by becoming an affiliate you can start sending traffic to www.rideaike.com by using your special tracking link and in exchange Äike will pay you a commission on each conversion into actual sale.

We are happy to have both natural persons (at least 18-years old) and legal entities sign up as an affiliate, as long as you are good with these terms and conditions and vibe positively towards Äike.

Make sure to read these terms and conditions to understand the program because we will hold them as a binding agreement between us (“Agreement”).

Application Process and Partner Selection

1. Interested individuals can apply to become an affiliate through the website signup form on Äike’ official website.
2. The acceptance of affiliate applications will be subject to review and approval by Äike. We reserve the right to accept or reject applications at our discretion.
3. Affiliates must provide accurate and complete information during the application process.

Affiliating

1. Upon acceptance of your sign-up application by us and entry into the agreement, you will become an affiliate (“Affiliate”) and will be provided with your own personal account to our Affiliate Dashboard and unique tracking link. The tracking link needs to be used every time you promote Äike to your audience. The tracking link enables us to identify any potential customer mediated by you to us. If you do not use the unique tracking link specifically assigned to you or you are using the tracking link contrary to the Program guidelines, we are not able to link a potential customer with you. A failure in linking the customer with you takes away your right to receive a commission.
2. Our goal with the Program is to increase traffic on Äike website and get positive conversions into sale of Äike’ products and services.
3. You as the Affiliate are expected to create quality content related to Äike and its products and services, publish the content together with your tracking link in the channel(s) you interact with your audience.
4. By logging in to the Affiliate Dashboard, you can review and analyse your marketing and sales efforts and see our calculation of the commissions due to you. You will also be able to review our program details, see your tracking link, and access marketing/advertising creatives.

Commission Structure

1. Affiliates who generate actual sales for Äike will be eligible for monthly commissions.
2. The commission rate will be calculated based on the total number of conversions (sales) made through the Affiliate’s unique referral link.
3. Affiliate will not be eligible for commissions on sale if the customer withdraws from the sale for any reason and the customer payment for product or service is credited and/or refunded.
4. Äike will be free to terminate the agreements with customers at any time and according to its own discretion.
5. Äike also reserves the right to reverse orders due to duplicate tracking, returns, disputed charges, and Program violations as. In such cases, you will lose the right to commission.

Payment and Payouts

1. Commissions will be paid out on a monthly basis to Affiliate’s designated PayPal account, subject to a minimum payout threshold set by Äike.
2. The payout threshold and payment schedule will be communicated to the Affiliate upon approval into the program.
3. Commission payable is final and includes all applicable taxes, state fees and other charges. You will submit and pay any taxes (except VAT, if applicable and other fees that may apply to paying out the Commission to you.
4. Äike will not cover costs or fees for your activities as an Affiliate. Commission is the only form of compensation and payment for our Affiliates.

Promotion Guidelines

1. Affiliates are encouraged to promote Äike in a positive and ethical manner.
2. Affiliates must not engage in any deceptive, misleading, or harmful marketing practices that could negatively impact the reputation of Äike, its products, services, partners or fans.
3. Affiliates shall not use spam or engage in unsolicited email marketing to promote Äike.
4. Affiliates must comply with all applicable laws and regulations related to advertising and marketing practices.

Brand and Image Usage

1. Affiliates shall not use Äike’ trademarks, logos, or any copyrighted material without obtaining prior written consent.
2. Affiliates are allowed to use pre-approved marketing materials provided by Äike for promotional purposes.

Termination of Partnership

1. Äike reserves the right to terminate the partnership with immediate effect with any Affiliate found to be promoting the brand, product, or services in a manner that contradicts our values, ethics, or brand image.
2. Termination may also occur if the Affiliate is found to be involved in any illegal or unethical activities related to the promotion of Äike.
3. In case of partnership termination for above mentioned causes, the Affiliate will not be eligible for any outstanding commissions, and Äike may withhold any pending payments. Access to Affiliate Dashboard will be cancelled without notice and consequence to either party.
4. Either party may unilaterally end this Agreement, with or without cause, by giving the other party written notice. Written notice can be in the form of an email.

Limitations of Liability and Indemnification

1. Affiliate dashboard and content, or features made available in conjunction with this Program are provided “as is” and “as available” without any warranties of any kind either express or implied. To the fullest extent permissible pursuant to applicable law, Äike disclaims all warranties, we provide no guarantees and will not be responsible for:
  1. any interruption, discontinuance, suspension, or other types of unavailability of the Affiliate dashboard;
  2. any interruption or cessation of transmission to or from the Affiliate dashboard;
  3. any bugs, viruses, Tor the like, which may be transmitted to or through Affiliate dashboard;
  4. deletion of, corruption of, or failure to store any content or data;
  5. the incompatibility of technologies used for accessing the Affiliate dashboard.
2. We will not be liable to you with respect to any subject matter of this Agreement under any contract, negligence, tort, strict liability, or other legal or equitable theory for any indirect, incidental, consequential, special, or exemplary damages (including, without limitation, loss of revenue or goodwill or anticipated profits or lost business), even if we have been advised of the possibility of such damages. The cumulative liability of Äike to you arising out of or related to this Agreement, whether based in contract, negligence, strict liability, tort, or other legal or equitable theory, will not exceed the total commission fees paid to you under this Program.
3. You hereby agree to indemnify and hold harmless Äike and its subsidiaries and Affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) (any or all of the foregoing hereinafter referred to as “Losses”) insofar as such Losses (or actions in respect thereof) are related to the provision of services under this Agreement, including but not limited, arise out of or are based on (i) any claim that our use of the Affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or (iii) any claim related to your Post/website, including, without limitation, content therein not attributable to us (iv) breach of applicable law.

Confidentiality and Data Protection

1. Affiliates agree to keep all confidential information received from Äike strictly confidential and not disclose it to any third party.
2. Affiliates shall comply with all applicable data protection laws and regulations while handling any customer data obtained during the Affiliate partnership.

Independent Contractors

1. The Affiliate relationship does not constitute an employment, agency, partnership, or joint venture between the parties.
2. The Affiliate is responsible for their own tax obligations and compliance with local laws.

By participating in the ÄIKE E-Scooters Affiliate Program, you indicate your acceptance and agreement to these specific terms and conditions. Äike looks forward to a positive and successful partnership with you as we promote our brand together.
